71. FORM W-9 REQUIRED
Every United States Affiliate required to provide an IRS Form W-9 must submit a complete and accurate Form W-9 before affiliate commissions are released.
Hi-Tech Peptides may provide W-9s and onboarding forms through:
- Email.
- Electronic signature systems.
- Affiliate portals.
- Other electronic methods.
The Affiliate is responsible for timely completion and return.
Hi-Tech Peptides may withhold payments until a valid W-9 and all other required tax and payment documentation have been received.
Such withholding does not constitute late payment or breach by Hi-Tech Peptides.
72. ACCURACY OF AFFILIATE TAX AND PAYMENT INFORMATION
The Affiliate represents and warrants that all tax and payment information is complete, truthful, current, and accurate.
The Affiliate must promptly notify Hi-Tech Peptides of changes involving:
- Legal name.
- Business name.
- Entity type.
- Address.
- Taxpayer identification number.
- Employer Identification Number.
- Tax classification.
- Banking information.
- Payment information.
- Other material information used for reporting or payment.
Hi-Tech Peptides may suspend payments while updated information is verified.
73. FORM 1099 AND TAX REPORTING
Affiliate compensation may be reported to the Internal Revenue Service and other governmental authorities as required by law.
Hi-Tech Peptides may issue the applicable IRS Form 1099 or other required tax document.
Affiliates are solely responsible for:
- Federal taxes.
- State taxes.
- Local taxes.
- Self-employment taxes.
- Payroll obligations.
- Accounting.
- Tax filings.
- Business expenses.
- Other governmental obligations.
Hi-Tech Peptides does not provide tax advice.
74. AFFILIATE MONTHLY ACCOUNTING PERIOD
Affiliate commissions will be accounted for on a calendar-month basis.
Each accounting period begins on the first calendar day of the month and ends on the last calendar day of that month.
Only qualifying transactions for which Hi-Tech Peptides has actually received and cleared the applicable customer payment will be included.
An order is not commissionable merely because it was submitted.
The underlying payment must be received, cleared, and available to Hi-Tech Peptides.
75. AFFILIATE PAYMENT SCHEDULE
Subject to all applicable conditions, earned affiliate commissions will be paid on or about the 15th day of each month for qualifying commissions earned during the immediately preceding calendar month.
Examples:
January qualifying commissions → payable on or about February 15.
February qualifying commissions → payable on or about March 15.
March qualifying commissions → payable on or about April 15.
If the 15th falls on a weekend, federal holiday, banking holiday, or other day when ordinary payment processing is unavailable, payment may be processed on the next reasonably available business day.
This monthly schedule supersedes any prior general practice of paying commissions within three business days after each individual customer payment clears, unless a separately signed Affiliate Agreement expressly provides otherwise.
76. CONDITIONS PRECEDENT TO AFFILIATE PAYMENT
No affiliate commission is required to be released unless, as of the applicable payment date:
- The Affiliate is properly registered.
- A required Affiliate Agreement has been completed.
- A valid Form W-9 has been received where required.
- Required payment information has been provided.
- Required identity and business information has been provided.
- The underlying customer payment has cleared.
- The transaction has been confirmed as qualifying.
- The transaction has not been canceled.
- The transaction has not been refunded.
- The transaction has not been charged back.
- The transaction has not been reversed.
- The transaction is not subject to a material payment dispute.
- The Affiliate is not in material breach.
- No legal or compliance hold prevents payment.
77. PAYMENT HOLD FOR MISSING DOCUMENTATION
If registration, W-9, tax, identity, banking, or payment documentation is incomplete, Hi-Tech Peptides may place payment on administrative hold.
Amounts otherwise earned may remain on hold until required documentation is supplied and verified.
After the deficiency is cured, Hi-Tech Peptides may include the held amount in the next regular payment cycle.
Hi-Tech Peptides is not required to make an off-cycle payment because an Affiliate failed to timely complete onboarding requirements.
78. AFFILIATE REFUNDS, RETURNS, CHARGEBACKS, AND REVERSALS
Affiliate commissions are calculated only on qualifying amounts actually collected and retained by Hi-Tech Peptides.
No commission is owed on:
- Refunded transactions.
- Canceled orders.
- Returns.
- Credits.
- Chargebacks.
- Payment reversals.
- Fraudulent transactions.
- Disputed payments not retained.
- Uncollected amounts.
- Sales taxes.
- Other excluded amounts under the applicable Affiliate Agreement.
If a commission was previously paid and the underlying transaction is later refunded, reversed, charged back, disputed, canceled, determined fraudulent, or becomes uncollectible, Hi-Tech Peptides may:
- Deduct the commission from future payments.
- Offset the amount against other sums payable.
- Require reimbursement where no future commissions are available.
79. AFFILIATE INSTALLMENT PAYMENTS
If a qualifying customer transaction is paid in installments, Affiliate commissions will be calculated only upon each installment actually received and cleared.
Each corresponding commission will be included in the monthly payment cycle for the month in which the customer installment cleared.
80. AFFILIATE COMMISSION STATEMENTS
Hi-Tech Peptides may provide a commission statement, affiliate dashboard, spreadsheet, report, or accounting identifying information such as:
- Qualifying transactions.
- Referral source.
- Amount collected.
- Commission rate.
- Commission earned.
- Adjustments.
- Refunds.
- Chargebacks.
- Credits.
- Prior-period adjustments.
- Total amount scheduled for payment.
The reporting format may change as Company systems develop.
81. AFFILIATE DUTY TO REVIEW ACCOUNTING
Affiliates are responsible for reviewing commission statements and reporting alleged discrepancies promptly.
Unless applicable law requires a longer period, an Affiliate should report a commission-accounting discrepancy within thirty days after receiving the applicable payment or statement.
Reasonably documented discrepancies will be reviewed in good faith.
82. NO CASH OR UNREGISTERED AFFILIATE PAYMENTS
Hi-Tech Peptides may require all Affiliate payments to be processed through approved accounting and payment systems.
Affiliates are not entitled to demand:
- Cash payments.
- Payments to unidentified third parties.
- Payments to unverified accounts.
- Payment methods creating material accounting, tax, fraud, or compliance concerns.
Hi-Tech Peptides may require verification before redirecting payments.
83. AFFILIATE INDEPENDENT CONTRACTOR STATUS
Affiliates are independent contractors and are not employees of Hi-Tech Peptides.
Affiliate compensation does not constitute:
- Wages.
- Salary.
- Payroll compensation.
- Employee benefits.
- Guaranteed income.
Affiliates remain responsible for taxes, insurance, expenses, business registrations, licenses, and obligations associated with their independent business activities.
84. NO MINIMUM AFFILIATE COMPENSATION GUARANTEE

Provisions concerning:

Nothing in these Terms creates:
- Partnership.

- Employment.
- Agency.
- Franchise.
- Fiduciary relationship.
- Brokerage relationship.
- Representative relationship.
Customers and Affiliates do not have authority to bind Hi-Tech Peptides.
87. THIRD-PARTY AND AFFILIATE STATEMENTS
Hi-Tech Peptides is not responsible for unauthorized statements independently made by:
- Customers.
- Social-media users.
- Influencers.
- Affiliates.
- Resellers.
- Distributors.
- Contractors.
- Other independent third parties.
No Affiliate may make unauthorized medical, therapeutic, clinical, pharmaceutical, diagnostic, regulatory, efficacy, or human-use claims.

MANDATORY DISPUTE RESOLUTION AND ARBITRATION AGREEMENT
95. SEPARATE AGREEMENT TO ARBITRATE
THIS SECTION CONSTITUTES A SEPARATE AND INDEPENDENT AGREEMENT TO ARBITRATE BETWEEN YOU AND HI-TECH PEPTIDES.
THE ARBITRATION AGREEMENT IS SEVERABLE FROM THE REMAINDER OF THESE TERMS AND SURVIVES:
- Completion of an order.
- Account closure.
- Termination.
- Cancellation.
- Refund.
- Replacement.
- Affiliate termination.
- Termination of the business relationship.
THE PARTIES INTEND THIS ARBITRATION AGREEMENT TO BE ENFORCED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
96. BROAD DEFINITION OF DISPUTE
“Dispute” means any claim, controversy, demand, cause of action, disagreement, or legal or equitable proceeding arising out of or relating in any manner to:
- These Terms.
- The arbitration agreement.
- The Service.
- Website use.
- Products.
- Product quality.
- Product condition.
- Product representations.
- Orders.
- Payments.
- Refunds.
- Credits.
- Chargebacks.
- Shipping.
- Delivery.
- Damaged-product claims.
- Communications.
- Privacy.
- Advertising.
- Marketing.
- Affiliate compensation.
- Affiliate accounting.
- Affiliate payment.
- Certificates of Analysis.
- Research information.
- Indemnification.
- Warranty.
- Contract claims.
- Tort claims.
- Negligence claims.
- Statutory claims.
- Equitable claims.
- Termination.
- The customer relationship.
- The Affiliate relationship.
- Events occurring before acceptance of the current version where legally permissible.
- Events occurring after termination.
“Dispute” is intended to receive the broadest meaning permitted by law.
97. MANDATORY BINDING ARBITRATION
EXCEPT FOR MATTERS THAT APPLICABLE LAW EXPRESSLY PROHIBITS FROM BEING ARBITRATED OR LIMITED COURT PROCEEDINGS EXPRESSLY AUTHORIZED BELOW, EVERY DISPUTE SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION.
NEITHER PARTY MAY COMMENCE OR MAINTAIN ORDINARY CIVIL LITIGATION CONCERNING A COVERED DISPUTE.
If a covered Dispute is filed in court, either party may seek an order compelling arbitration and staying or dismissing the judicial proceeding as permitted by law.
98. FEDERAL ARBITRATION ACT
The parties acknowledge that Hi-Tech Peptides transactions may involve interstate commerce.
The arbitration agreement shall be governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq., to the maximum extent applicable.
Florida arbitration law shall supplement federal arbitration law where legally appropriate.
99. FLORIDA GOVERNING LAW
Except where federal law or another nonwaivable law controls, the validity, interpretation, construction, and performance of these Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles.
100. DELEGATION OF ARBITRABILITY
Except for questions concerning whether an agreement to arbitrate was actually formed, whether the person accepting had authority to bind the applicable party, and questions that applicable law expressly requires a court to decide, the parties expressly and unmistakably delegate to the arbitrator exclusive authority to determine disputes concerning:
- Interpretation of the arbitration agreement.
- Scope of arbitration.
- Applicability of arbitration.
- Whether a particular claim falls within arbitration.
- Enforceability of the arbitration agreement.
- Validity of the arbitration agreement.
- Satisfaction of conditions precedent.
- Waiver relating to arbitration.
- Timeliness.
- Procedural arbitrability.
- Arbitration procedures.
The parties intend this delegation clause itself to constitute an independent agreement.
101. INFORMAL DISPUTE RESOLUTION
Before initiating arbitration, the complaining party must provide a written Notice of Dispute containing:
- Identifying information.
- Account, transaction, Affiliate, or order information where applicable.
- Detailed description of the dispute.
- Relevant facts.
- Amount sought.
- Relief requested.
- Claimant signature.
- Counsel information if represented.
- Reasonably available supporting documents.
The parties shall participate in a good-faith individualized telephone or videoconference.
Counsel may participate, but the claimant must personally participate unless legally excused.
Completion of this procedure is a condition precedent to arbitration.
102. AMERICAN ARBITRATION ASSOCIATION
Unless the parties subsequently agree otherwise in writing, arbitration shall be administered by the American Arbitration Association (“AAA”) under the applicable rules in effect when arbitration is commenced.
Where a proceeding constitutes a consumer arbitration, applicable mandatory AAA Consumer Arbitration Rules and Consumer Due Process requirements shall apply to the extent they cannot legally be modified.
If AAA is unavailable or unwilling to administer a particular arbitration, the parties shall attempt to agree upon another nationally recognized arbitration administrator.
If no agreement is reached, a court may appoint or designate an appropriate administrator or arbitrator solely for that limited purpose without permitting litigation of the underlying merits.
103. BROWARD COUNTY, FLORIDA ARBITRATION SITUS
The contractual and legal situs of arbitration shall be:
BROWARD COUNTY, FLORIDA
except where nonwaivable law or mandatory arbitration rules require otherwise.
Hearings may occur in person, remotely, by videoconference, telephone, or written submissions without changing the legal situs.
104. AMOUNT IN CONTROVERSY
For purposes of determining the number of arbitrators, the “Amount in Controversy” means the total monetary relief affirmatively sought by the claimant, including:
- Compensatory damages.
- Statutory damages.
- Punitive damages.
- Restitution.
- Reimbursement.
- Indemnification.
- Affiliate commissions.
- Other monetary relief.
Ordinary arbitration fees and attorneys’ fees incurred solely because the proceeding exists are not included unless they independently constitute substantive underlying damages.
A claimant may not artificially split substantially related claims to avoid the three-arbitrator requirement
105. THREE ARBITRATOR PANEL FOR DISPUTES ABOVE $1,500
Any covered Dispute where the Amount in Controversy exceeds One Thousand Five Hundred Dollars ($1,500.00) shall be determined by a panel of three qualified arbitrators, subject to mandatory consumer-arbitration rules that cannot lawfully be modified.
The panel shall be selected as follows:
- Hi-Tech Peptides selects one qualified neutral arbitrator from the administrator’s roster.
- The opposing party selects one qualified neutral arbitrator.
- The two selected arbitrators select a third independent neutral arbitrator to serve as chair.
- All arbitrators must satisfy applicable impartiality, independence, disclosure, and conflict requirements.
- If a party fails to timely appoint its arbitrator, AAA may make the appointment.
- If the first two arbitrators cannot agree upon the third arbitrator within fifteen calendar days, AAA may appoint the chair.
- A majority decision controls.
106. CONSUMER COST SAVINGS AND ARBITRATION PRESERVATION
The parties intend the three-arbitrator requirement to apply to disputes above $1,500 without making arbitration legally inaccessible to a consumer.
Where mandatory consumer-arbitration rules require Hi-Tech Peptides to bear particular arbitration expenses, Hi-Tech Peptides will bear such amounts as required.
If mandatory rules prevent use of a three-arbitrator panel in a particular consumer case, the dispute shall nevertheless remain subject to binding arbitration and proceed before the maximum number of arbitrators lawfully permitted.
The inability to enforce a particular panel-size requirement does not convert the Dispute into ordinary court litigation.
107. SINGLE ARBITRATOR FOR OTHER DISPUTES
Disputes involving an Amount in Controversy of $1,500 or less will ordinarily be resolved by one neutral arbitrator unless applicable law or mandatory arbitration rules require otherwise
108. ARBITRATOR NEUTRALITY
Every arbitrator must be independent and impartial.
A party-appointed arbitrator does not serve as an advocate for the appointing party.
109. ARBITRATOR AUTHORITY
Subject to applicable law, the arbitrator or panel may determine issues concerning:
- Contract interpretation.
- Performance.
- Arbitrability as delegated herein.
- Damages.
- Affiliate commissions.
- Indemnification.
- Discovery.
- Evidence.
- Attorneys’ fees where authorized.
- Declaratory relief.
- Arbitral injunctive relief.
- Sanctions.
- Costs.
110. WRITTEN AWARD
The arbitrator or panel shall issue a written final award containing essential findings and conclusions where required by applicable rules or properly requested.
The award is final and binding subject only to review permitted by applicable arbitration law.
111. CONFIDENTIALITY OF ARBITRATION
To the maximum extent permitted by law, nonpublic arbitration proceedings, discovery, testimony, documents, and awards shall remain confidential except where disclosure is reasonably necessary to:
- Conduct arbitration.
- Obtain professional advice.
- Enforce an award.
- Seek permitted judicial relief.
- Comply with law.
- Respond to governmental process.
112. EXPRESS WAIVER OF ORDINARY COURT TRIAL
YOU AND HI-TECH PEPTIDES EXPRESSLY, KNOWINGLY, INTENTIONALLY, AND VOLUNTARILY AGREE THAT COVERED DISPUTES SHALL NOT BE RESOLVED THROUGH AN ORDINARY CIVIL TRIAL IN STATE OR FEDERAL COURT.
THE PARTIES ARE CHOOSING ARBITRATION INSTEAD OF ORDINARY COURT LITIGATION.
113. JURY TRIAL WAIVER
YOU AND HI-TECH PEPTIDES EXPRESSLY, KNOWINGLY, AND VOLUNTARILY WAIVE, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY CONSTITUTIONAL, STATUTORY, OR OTHER RIGHT TO HAVE A COVERED DISPUTE DECIDED BY A JURY.
WHERE A NONARBITRABLE MATTER IS LAWFULLY HEARD IN COURT, THE PARTIES ALSO WAIVE TRIAL BY JURY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
114. CLASS, COLLECTIVE, MASS, AND REPRESENTATIVE ACTION WAIVER
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERY DISPUTE MUST BE BROUGHT AND RESOLVED ONLY IN THE INDIVIDUAL CAPACITY OF THE PERSON OR ENTITY ASSERTING IT.
NO PARTY MAY SEEK TO HAVE A DISPUTE RESOLVED AS:
- A class action.
- A collective action.
- A mass action.
- A representative action.
- A private attorney general action.
- A class-wide arbitration.
- A proceeding on behalf of unrelated customers or Affiliates.
The arbitrator may award relief only to the individual claimant except where applicable nonwaivable law provides otherwise.
115. NO CONSOLIDATION
Separate disputes may not be consolidated, coordinated, or joined without written consent of all affected parties except where mandatory law or nonwaivable arbitration rules require otherwise.
116. SEVERABILITY OF CLASS OR REPRESENTATIVE WAIVERS
If a court with lawful authority determines that a particular portion of the class or representative-action waiver cannot legally be enforced as to a particular claim or remedy, only that portion shall be severed to the minimum extent legally necessary.
All remaining arbitrable claims shall continue in arbitration.
117. LIMITED COURT PROCEEDINGS
Nothing in this arbitration agreement prevents a party from seeking judicial relief solely for:
- Compelling arbitration.
- Staying litigation pending arbitration.
- Appointment of an arbitrator where legally authorized.
- Temporary or emergency relief necessary to preserve the status quo.
- Protection of intellectual property.
- Protection of confidential information.
- Prevention of fraud.
- Preservation of evidence.
- Confirmation of an arbitration award.
- Enforcement of an arbitration award.
- Modification or vacation of an award where legally authorized.
Seeking these limited remedies does not waive arbitration of the underlying merits.
118. CONSENT TO FLORIDA PERSONAL JURISDICTION
For court proceedings expressly permitted under this Agreement, each party irrevocably consents, to the maximum extent legally permissible, to personal jurisdiction in the State of Florida.
119. EXCLUSIVE BROWARD COUNTY COURT VENUE
For judicial proceedings expressly permitted under these Terms, exclusive venue shall lie in the appropriate state court located in:
Broward County, Florida
or, where federal subject-matter jurisdiction exists:
the United States District Court for the Southern District of Florida.
To the maximum extent permitted by law, the parties waive objections based upon:
- Personal jurisdiction.
- Improper venue.
- Forum non conveniens.
- Residence outside Florida.
- Inconvenience.
This provision does not authorize litigation of a Dispute otherwise required to be arbitrated.
120. ENFORCEMENT OF ARBITRATION AWARDS
Judgment upon an arbitration award may be entered and enforced in any court having lawful jurisdiction.
121. ATTORNEYS’ FEES AND COSTS
Where authorized by applicable law, arbitration rules, or contract, the prevailing party may recover reasonable:
- Attorneys’ fees.
- Expert expenses.
- Arbitration expenses.
- Enforcement expenses.
- Court costs.
Nothing in these Terms requires a consumer to pay fees that mandatory arbitration rules prohibit shifting to that consumer.
122. ANTI-CIRCUMVENTION OF ARBITRATION
A party may not avoid arbitration by:
- Changing legal labels applied to the claim.
- Adding affiliated entities.
- Naming owners, employees, representatives, vendors, contractors, agents, or other Protected Parties.
- Seeking equitable rather than monetary relief.
- Splitting substantially related claims.
- Bringing substantially related claims through another controlled individual or entity.
Arbitrability will be determined according to the substance of the Dispute.
123. PROTECTED PARTIES MAY ENFORCE ARBITRATION
Each Hi-Tech Peptides Protected Party is an intended third-party beneficiary of the arbitration agreement and may enforce it to the extent permitted by law.
124. ARBITRATION WAIVER
Whether a party has waived arbitration will be determined under applicable law.
Investigation, informal dispute resolution, responding to demands, defending litigation while preserving arbitration rights, or seeking expressly permitted emergency judicial relief does not independently constitute waiver where applicable law provides otherwise.
125. CONTRACTUAL CLAIM PERIOD
To the extent permitted by law, any claim arising from a product, order, transaction, Affiliate payment, commission, or Service must be asserted within one year after accrual or any longer minimum period required by nonwaivable law.
126. ATTORNEY REVIEW AND VOLUNTARY CONSENT
YOU ACKNOWLEDGE THAT THIS AGREEMENT CONTAINS IMPORTANT LEGAL RIGHTS, RELEASES, INDEMNIFICATION OBLIGATIONS, MANDATORY ARBITRATION, A JURY TRIAL WAIVER, CLASS ACTION WAIVER, AND LIMITATIONS UPON REMEDIES.
BY ACCEPTING THESE TERMS, YOU ACKNOWLEDGE THAT:
- You have read this Agreement.
- You had a full and fair opportunity to review it.
- You have been advised that you may consult an independent attorney.
- You have had a reasonable opportunity to obtain legal advice.
- You either consulted independent counsel or knowingly chose to accept the Agreement without doing so.
- Hi-Tech Peptides is not acting as your attorney.
- You are not relying on Hi-Tech Peptides for legal advice.
- You enter into this Agreement voluntarily.
- You understand arbitration replaces ordinary court trial for covered Disputes.
- You understand the jury and class waivers.
- You understand the indemnification and assumption-of-risk provisions.
127. ARBITRATION IS A MATERIAL CONDITION OF TRANSACTION
THE AGREEMENT TO ARBITRATE COVERED DISPUTES IS A MATERIAL CONDITION OF HI-TECH PEPTIDES’ AGREEMENT TO TRANSACT WITH YOU.
HI-TECH PEPTIDES WOULD NOT ENTER INTO THE TRANSACTION ON THE SAME TERMS WITHOUT THIS ARBITRATION AGREEMENT.
128. NO GENERAL ARBITRATION OPT-OUT
Unless Hi-Tech Peptides expressly provides a separate written arbitration opt-out procedure, acceptance of these Terms constitutes acceptance of the arbitration agreement.
Nothing herein eliminates a right that nonwaivable law expressly requires.
129. ARBITRATION SEVERABILITY AND SAVINGS CLAUSE
The parties intend the underlying obligation to arbitrate to survive even if a particular arbitration procedure is found unenforceable.
If a procedural provision concerning:
- Panel size.
- Arbitrator selection.
- Location.
- Fee allocation.
- Confidentiality.
- Pre-arbitration procedure.
- Claim limitation.
- Class waiver.
cannot be enforced, that provision shall be modified or severed to the minimum extent necessary while preserving mandatory individual arbitration to the maximum extent permitted by law.
130. SURVIVAL OF ARBITRATION
The arbitration agreement survives:
- Account termination.
- Order completion.
- Refund.
- Replacement.
- Account closure.
- Affiliate termination.
- Discontinuation of the Service.
- Corporate restructuring.
- Termination of the business relationship.
GENERAL CONTRACT PROVISIONS

- Release.
- Indemnification.
- Liability limitations.
- Intellectual property.
- Arbitration.
133. ENTIRE AGREEMENT
These Terms, together with:
- Privacy Policy.
- Return and Replacement Policy.
- Shipping Policy.
- Affiliate Agreement where applicable.
- Checkout disclosures.
- Separately executed written agreements expressly incorporated into a transaction.
constitute the agreement between the parties concerning the matters addressed herein.
A separately signed agreement supersedes a conflicting provision only where it expressly states that it does so.
134. NO IMPLIED MODIFICATION OF ARBITRATION
A later policy, website statement, or agreement shall not be interpreted as silently eliminating or modifying the arbitration agreement.
A later agreement modifies arbitration only if it expressly and specifically states that it modifies or replaces the Hi-Tech Peptides Arbitration Agreement.
135. CHANGES TO TERMS
Hi-Tech Peptides may revise these Terms.
The version properly presented and accepted for a particular transaction will ordinarily govern that transaction unless subsequent changes are validly accepted or applicable law provides otherwise.
136. SEVERABILITY
Except where a particular provision states otherwise, if a provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable where legally permissible.
If modification is not possible, the invalid portion shall be severed and the remainder shall continue in effect.
137. NO WAIVER
Failure or delay in enforcing a provision does not constitute a waiver.
An express waiver must be authorized in writing.
138. HEADINGS
Headings are for convenience and organizational purposes only and do not independently alter contractual meaning.
139. CONSTRUCTION
“Including” means “including without limitation” unless the context clearly requires otherwise.
Singular terms may include plural terms and vice versa.
These Terms shall not automatically be construed against a party merely because that party participated in drafting them.
140. ELECTRONIC SIGNATURES AND RECORDS
Electronic signatures and affirmative electronic acceptance have the legal effect permitted by law.
Electronic transaction and acceptance records may be retained as evidence of assent.
141. NO RELIANCE ON UNAUTHORIZED REPRESENTATIONS
You are not entitled to rely upon a statement that:
- Contradicts these Terms.
- Promises medical or therapeutic outcomes.
- Suggests unauthorized human use.
- Suggests nonexistent regulatory approval.
- Was made by an unauthorized third party.
Only an express written statement issued by an authorized Hi-Tech Peptides representative may modify a Company obligation where the writing expressly states that it does so.
142. MATERIAL CONDITIONS OF SALE
You acknowledge that the following are material conditions upon which Hi-Tech Peptides agrees to transact:
- Research use only.
- Qualified research purchaser status.
- No unauthorized human use.
